CMS provides merchant payment services information and related tools for businesses in the United States. Product availability depends on business location, industry, how customers pay, underwriting, card-brand rules, and applicable law.

3. Educational content and estimates — important distinction

Website content, statement reviews, savings estimates, product recommendations, and educational materials are preliminary and informational only. They are not a binding offer, quote, contract, legal advice, tax advice, or guarantee of approval, pricing, savings, or whether a program is available for your business.

Final merchant pricing, fees, equipment terms, funding timing, and program rules are controlled by the approved merchant processing agreement, related schedules, and processor / acquirer / card-brand requirements after underwriting. If website information conflicts with signed agreements or official program disclosures, the signed agreements and official disclosures control.

4. Statement review and online tools

If you upload a processing statement or enter business information, you confirm that you are authorized to share that information with CMS and that it is accurate to the best of your knowledge. Tools may use automated analysis (including AI-assisted reading) to help summarize fees and suggest CMS product options. Results can be incomplete or incorrect if the statement is unclear, truncated, or nonstandard.

5. Merchant applications

Starting or completing a merchant application does not guarantee approval. You agree to provide true, complete, and current information. Certain sensitive data (such as SSN and bank account numbers) may be required for underwriting. Until CMS enables secure vault/collection for those fields, final sensitive submission remains blocked and marked SECURE COLLECTION REQUIRED.

Personal guarantee, ownership, banking, and agreement steps may be required. Processor legal language in the merchant processing agreement may not be altered by CMS marketing copy on this website.

6. Product and program availability

CMS POS Solutions, CMS Simple Payments, CMS Online Payments, CMS Mobile Payments, CMS B2B Payments, CMS Interchange Plus, CMS Surcharge Program, CMS Cash Discount Program, CMS Statement Review, and CMS Payment Security are CMS customer-facing product names. Features, pricing options, and state/industry availability can change. Surcharge and cash-discount options in particular may be limited or unavailable based on location, industry, card type, and card-brand rules.

7. Accounts, security, and acceptable use

You agree not to:

• Misrepresent your identity, business, ownership, or authority.
• Upload malware, scrape the site abusively, or attempt unauthorized access.
• Interfere with site security, rate limits, or other users.
• Use the site for any unlawful purpose.

We may suspend or limit access if we reasonably believe these Terms or applicable law have been violated, or to protect merchants, CMS, or partners.

8. Intellectual property

Site content, branding, logos, and software are owned by CMS or its licensors. You may view and use the site for legitimate business inquiry purposes. You may not copy, scrape, reverse engineer, or reuse CMS materials for competing commercial purposes without written permission.

9. Third-party services

Underwriting, processing, equipment fulfillment, and related services may involve independent processors, banks, and vendors. Their terms may also apply once an account is approved. CMS is not responsible for third-party sites or services we do not control.

10. Disclaimers

THE SITE AND TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CMS DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that estimates will match final approved pricing.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CMS AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SITE OR RELIANCE ON SITE CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE IS LIMITED TO ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID CMS (IF ANY) FOR SITE ACCESS IN THE PRIOR TWELVE MONTHS, WHICHEVER IS GREATER. Some jurisdictions do not allow certain limitations; in those places, limits apply to the fullest extent allowed.

12. Indemnity

You agree to defend and indemnify CMS against claims arising from your misuse of the site, inaccurate information you submit, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules, except where mandatory consumer or small-business protections of your state require otherwise. Courts located in Clark County, Nevada, have exclusive jurisdiction over disputes arising from these Terms or the website, except where prohibited by law.
